Schneider Electric agreed on October 5, 2026, to buy U.S. industrial-software maker PTC in an all-cash deal at $205 per share. That values PTC’s equity at about $22.6 billion (about €20.1 billion) and implies an enterprise value of $23.7 billion. The price is a 42.3% premium to PTC’s last closing price before the announcement and a 46.1% premium to its 30-trading-day volume-weighted average price.
Schneider plans to fund the roughly €22 billion cash cost with about €5 to 6 billion of new shares and €16 to 17 billion of new debt, backed by a bridge loan from Morgan Stanley and Société Générale. Both boards approved the deal, which is expected to close by the third quarter of 2027, pending a vote by PTC shareholders and regulatory approvals.
